Robert A. Smoller

ROBERT SMOLLER practices in the areas of securities, bank regulatory, lending and corporate law. He represents privately held companies including banks, corporations and partnerships and limited liability companies.

As part of his securities practice, Bob prepares confidential private placement memoranda for private placements, stock purchase agreements and financing documents in connection with his clients' capital raising efforts. He also prepares stock option and other securities-based benefit plans. He represents and advises insiders with respect to reporting of their stock ownership in public companies and sales of their stock.

Banking clients seek Bob's help with sales and purchases of bank holding companies, banks and bank branches, the organization and operations of banks and bank holding companies and dealings with regulatory agencies such as the Federal Deposit Insurance Corporation ("FDIC") and Federal Reserve Board ("FRB"). He combines his securities practice with his banking practice to represent banks in loans secured by restricted stock and other securities, and conducts seminars on securities law issues for those banks involved in such loans.

Bob represents corporations, limited partnerships and limited liability companies and their investors in the organization of their business entities, mergers and acquisitions, financing and day-to-day business issues. Among other clients, he has represented banks and bank holding companies, manufacturing and other commercial companies, broker-dealers, medical corporations and more than 40 restaurants.

A certified public accountant, Bob served for 15 years as the Chief Financial Officer of a law firm. Bob also serves on the Corporate Leadership Committee of the Leukemia and Lymphoma Society in the Chicago area.
