Ati P. Khatri

Ati concentrates his practice on all aspects of business planning for middle-market businesses and closely-held companies, including mergers and acquisitions, debt and equity financing, specialty finance, corporate governance, and a wide range of other general corporate matters.

Ati leads HMB's debt finance and banking practice, and his particular focus has been to provide both lender-side and borrower-side loan documentation for financial institutions and middle market businesses to facilitate complex commercial loan transactions ranging from $1 million to $350 million. Ati manages the negotiation and documentation of credit agreements, security agreements, guaranties, subordination agreements and other ancillary loan documents on behalf of banking clients and middle-market borrowers. In addition to traditional corporate finance transactions, Ati has built a unique practice facilitating specialty finance transactions, including equipment lease finance, warranty finance, insurance premium finance and other such specialty disciplines. Through his specialty finance practice, Ati has built a strong reputation for finding solutions to difficult problems that has set him apart from traditional corporate finance attorneys.

Ati also focuses his practice on mergers and acquisitions. He has represented clients in numerous industries in M&A transactions ranging from $1 million to $375 million. In such transactions, Ati supervises the negotiation and documentation of stock/asset purchase agreements, letters of intent, confidentiality agreements, employment agreements, non-competition agreements and other ancillary purchase documents. Ati's finance background makes him uniquely qualified to oversee both the purchase transaction logistics as well as the senior and mezzanine debt financing necessary to bring the transaction to a smooth closing.  As such, Ati serves as a "one-stop shop" for all of his respective clients' M&A needs.

In addition to finance and M&A transactions, Ati serves as outside general counsel for middle-market businesses in a variety of industries that have day-to-day general corporate needs.  In furtherance of such general counsel services, Ati negotiates commercial contracts, shareholder agreements, operating agreements, joint venture arrangements, licensing contracts and SaaS agreements.  Ati's goal is to be a true strategic partner for growing businesses, and he prides himself on being the first phone call that his clients make when they are seeking creative legal solutions to their corporate needs.
