HMB Legal Counsel, a preeminent provider of legal services in business and finance, litigation, trusts and estates, real estate, state and local taxes and corporate reorganization, bankruptcy and creditor's rights, announced that Loan K. Tran joins the firm as an associate in the Business and Finance group and Elysa J. Chew joins the firm as an associate in the Litigation and Bankruptcy, Reorganization and Creditors' Rights groups.
Both Loan and Elysa started HMB in 2019 as part of the firm's Law Clerk Program.
Loan works with clients on matters related to governance structures, product compliance, banking regulations and stockholder rights. She has also conducted extensive research on drafting considerations for purchase and sale agreements and how to mitigate post-closing disputes. Elysa’s commercial litigation experience includes matters ranging from accounting malpractice to non-compete/non-solicit clauses. She also has diverse bankruptcy experience, working with clients on bankruptcy appeal and cross-border insolvency issues. Elysa has also worked on matters representing both creditors’ committees and trustees. At the intersection of bankruptcy and cannabis is the tension between federal cannabis law and state laws that have legalized cannabis. Elysa has extensively researched this issue and is prepared to advise clients in the cannabis industry on their exposure if they become involved in litigation.
