Professional Bio

SCOTT A. JOSEPHSON focuses his practice in counseling clients in connection with all aspects of financing, mergers and acquisitions, licensing and general corporate matters. Scott has experience in handling complex transactions on behalf of financial institutions, private equity and venture capital firms, closely held companies and individuals.  Scott heads the firm's finance practice. 

Scott has worked on a wide variety of commercial financial transactions, including asset-based and cash flow loans, syndicated credit facilities, loan participations, premium financing, equipment leasing, litigation financing, Chapter 11 bankruptcy financing, loan workouts, restructurings, and foreclosures. 

Scott also has experience in representing closely-held companies in all phases from start-up through the desired exit strategy, including corporate governance matters, capital structure, tax planning, expansion planning, employee ownership plans and dispute resolution.
