Professional Bio
AARON D. WERNER concentrates his practice in general corporate matters including mergers and acquisitions, private equity and venture capital transactions and corporate governance issues. He works with clients in a wide range of industries including retail, transportation, technology, manufacturing and financial services.
Aaron participates on a team that serves as outside general counsel to several start-up and mid-market businesses including, but not limited to, an automotive truck manufacturer and replacement parts company, a nationwide mortgage company, a marketing services provider, a butter and fats trading company, an aviation products resale firm, a food ingredient producer, an IT consulting firm, an online art gallery, a zip line resort, a convergent billing services provider and a green technology internet start-up.
On a pro bono basis, Aaron advises Open Heart Magic, a Chicago-based non-profit organization that trains and staffs magicians at local hospitals. Aaron counsels Open Heart Magic on a variety of legal issues concerning expansion of programming, preservation of non-profit status and minimizing legal exposure, in addition to drafting services, non-competition and confidentiality agreements.

- Representation of company founders selling a majority interest in their truck transportation services business;
- Representation of a minority owner in a technology based business in connection with the business's merger with and into a strategic partner;
- Representation of private equity interests making a debt and equity investment into a professional poker league;
- Representation of private equity interests acquiring a majority interest in an international sprout company;
- Representation of private equity interests making a debt and equity investment into an international food company;
- Representation of a manufacturing business in connection with an investigation by the Environmental Protection Agency;
- Representation of an individual purchasing a speech, occupational and physical therapy business that services schools and hospitals;
- Representation of an individual selling a large collection of rare coins; and
- Performance of a legal audit for a private medical products company.
